RR Donnelley Announces $350M Debt Offering

CHICAGO—November 6, 2013—R.R. Donnelley & Sons Company (RRD) announced today that it plans to offer $350 million of senior notes due 2023 in an underwritten public offering.

RR Donnelley intends to use the net proceeds from the offering for general corporate purposes, which may include repayment of borrowings under the company's revolving credit facility. Amounts repaid under the revolving credit facility may be reborrowed to finance the cash portion of amounts payable by the company in connection with the proposed acquisition of Consolidated Graphics and for general corporate purposes.

The notes are being offered pursuant to the company's existing shelf registration statement, which became automatically effective upon filing with the Securities and Exchange Commission. A preliminary prospectus supplement and accompanying prospectus describing the terms of the offering will be filed with the Securities and Exchange Commission. BofA Merrill Lynch, J.P. Morgan, Mitsubishi UFJ Securities and Wells Fargo Securities will act as the joint book-running managers for the offering.
